Our transactional tax work includes extensive experience with:

  • partnerships, LLCs, joint ventures and disregarded entities in a variety of unique contexts;

  • tax credit equity transactions;

  • private equity and hedge fund transactions; and

  • corporate finance and funding transactions, recapitalizations, and project finance.

We typically join a deal team at the outset of a transaction, as early direction on tax issues is often critical for success. We also provide clients with assistance in their tax controversies.

 

Our tax controversy work includes:

  • IRS audit, administrative appeal, mediation and arbitration, deficiency and refund litigation;

  • IRS tax litigation, both at trial and on appeal;

  • obtaining private letter rulings and other guidance from the IRS; and

  • state tax planning and controversy.

We also regularly represent tax-exempt and nonprofit organizations, including formation and structuring, mergers and acquisitions, joint ventures and other transactions, and obtaining exemption determinations from the IRS.
